So what exactly do Judge Engoron’s orders following yesterday’s summary judgement actually mean?
Well, for starters, the named individuals all still own whatever the fuck they owned before the orders. The orders do not strip anyone of their legal rights to their property.
But cancellation of corporate certificates issued by the state of New York means that the named holders/officers on those certificates lose specific legal rights in the state of New York with respect to the assets of the corporations named on those certificates. As a corporation, and as officers of the corporation named on the certificates they no longer have any legal authority to borrow in the name of the coroporation, to apply for any government (state or federal) program or benefit in the name of the corporation, of file any document, or statement in the name of the corporation.
The effect is as if they are deemed incompetent (non compos mentis). They still own whatever the fuck the own according to whatever financial statements there are, but they are stripped of the authority to exercise any decision making over whatever they own. They have ten days (well, nine and a half now) to propose no more than three names to the court for a receiver who will take over exercising day-to-day management and control over the corporations and the assets.
It’s often described as a corporate death penalty because it tends to have that effect. Once the direct beneficiaries of the corporation may no longer exercise any decision making or even offer input into the disposition of the corporation’s assets and liabilities the corporation ceases to have a purpose.
It is my understanding that Donald J. Trump Sr. is the sole beneficiary of the named corporations. So the receiver would continue to pay salaries, collect rents, fees, and dues, pay taxes, etc. while preparing and executing the sale of the corporate held assets. After which Donald J. Trump Sr. would receive all the the net proceeds of the sales. (now watch how fast Junior’s coke addict girlfriend dumps him) Trump Sr. gets the $$ but plays no role in the dissolution of the corporations or the selling off of the assets and settling of the debts.
He would be within his rights to try to buy back any of the liquidated assets at any time in the process. But he would be entirely unable to use any of the corporate held assets being liquidated as security in order to obtain financing for such purchases.
His lawyers will appeal all of this and delay it as long as possible. I think it’s unlikely that the judgement of fraud would be overturned. Appeals of such judgements offer practically no opportunity to present new facts into the decision. Trump’s lawyers made their best case. And it was shit. So the appeals would have to center on arguments that the judge misinterpreted the law and that the remedies are incorrect. That’s a steep uphill climb once you’ve already conceded to the underlying corporate financial fraud.
