    Walgreen buys Boots Alliance, a European company, and reincorporates in Ireland, where corporate tax rates are much lower. This means Walgreen will pay U.S. corporate tax rates only on its U.S. earnings, instead of on its global earnings, saving the company millions a year in U.S. taxes. The IRS only requires that Walgreen be at least 20% foreign-owned, a threshold that’s easy to satisfy, because after the mega-merger less than 80% of its stock will be owned by American residents.

    The catch is that to reincorporate in Ireland, Walgreen has to cancel its existing stock and issue shares in a “new” company. This constitutes a sale of the existing stock for U.S. individual tax purposes, and means every American owner of Walgreen stock will owe capital gains taxes on his/her Walgreen stock, unless the stock is worth less than s/he paid for it, which is unlikely as Walgreen’s stock has more than double in the last 24 months. In exchange for paying individual capital gains taxes on this transaction, Walgreen’s American shareholders will get a basis step-up in their Walgreen stock.

    For example, let’s assume Roger Rabbit bought 100 shares of Walgreen stock in June 2012 for $30, and this stock is worth $75 a share when Walgreen reincorporates in Ireland. Roger has a taxable gain of $4,500 on the date of reincorporation, even though he hasn’t sold these shares. If his effective capital gains tax rate is 10%, he will owe the IRS $450, regardless of whether he sells or keeps these shares. But if he keeps them, his cost basis in the stock will become $7,500, not $3,000, so if he sells these shares in the future for, let’s say, $100 a share, his taxable capital gain at that time will be $2,500, not $7,000.

    Full Disclosure: Roger Rabbit bought a lot more than 100 shares of Walgreen for $30 in June 2012, but has already sold the rest for $75 a share, and has incurred a tax liability on that sale in the current tax year, but will only owe the IRS an additional $450 on his remaining 100 shares due to Walgreen’s “tax inversion” relocation to Ireland.

    This article takes a little time to read, but does a decent job of explaining our current economy (and why the stock market keeps going up despite a stagnant economy). The author’s prescriptions are interesting:

    — “A very progressive tax rate on corporations that provides them the incentive to pass profits through to wage earners.

    — “A very progressive tax rate on high-income earners.

    — “Strengthening the ability of the working class to engage in collective bargaining.

    — “Changing the dividend tax rules that would incentivize higher levels of dividend distributions of corporate profits.”

    Basically, he says when more money goes to the uber-wealthy, it doesn’t get spent in the economy, but merely contributes to asset inflation and creation of bubbles. To create growth-generating demand, you have to get money to workers. And if you don’t, the whole system eventually will collapse, because what we’re doing now isn’t sustainable.
